Come si legge in una nota diramata da Tech Data, si tratta di un accordo in contante e azioni valutato 2,6 miliardi di dollari.
La notizia fa volare il titolo di Avnet, che nel premercato a Wall Street guadagna oltre il 2 percento.
Come si legge in una nota, Avnet riceverà 2,4 miliardi di dollari in contante e 2,785 milioni di azioni ordinarie di Tech Data, valutate circa 200 milioni di dollari in base alla media ponderata del prezzo di chiusura degli ultimi 15 giorni.
Tech Data ritiene che l'accordo, la cui chiusura è prevista nel primo o nel secondo trimestre del 2017, "inciderà significativamente in positivo" sull'utile per azione adjusted nel primo anno dopo il closing, consentirà una riduzione dei costi per circa 100 milioni di dollari entro due anni dalla chiusura e porterà benefici fiscali per 200 milioni di dollari al valore attuale.
Avnet stima invece di realizzare un guadagno tra 3,75 e 4,65 dollari per azione. La vendita consente a entrambe le società di concentrarsi su strategie core ed economie di scala per le rispettive attività, in modo da garantire agli azionisti la creazione di valore.
L'operazione finanziaria "completa le nostre possibilità sulla distribuzione in Europa e America e rafforza la presenza nella regione Asia Pacifico, che è un mercato nuovo per il gruppo", ha detto l'amministratore delegato di Tech Data, Bob Dutkowsky.
